Position Summary The person in this position is responsible for managing all aspects of the administration of Rimini StreetA?s global equity based compensation programs and employee stock purchase plans, including collaboration and coordinating with Finance, Accounting, Tax, Payroll, Legal, and Human Resource to ensure accurate processing, reporting, and disclosure of employee and board member equity plan related transactions. Essential Duties and Responsibilities Manage the administration and day to day activities of the CompanyA?s corporate equity programs that includes stock options, restricted stock awards, restricted stock units for a newly public company.Manage complete cycle for equity plans including prepare new grants for board approval, processing and distributing new awards, terminations, exercises and releases.Manage external stock plan outsourcing service provider/broker to accurately administer and process grant awards, exercises, sale related transactions, ensuring accurate and timely execution, tax withholding, reporting, and delivery of shares to both US and non:US stock plan participants.Serve as primary contact for both internal clients (employees) and external stakeholders for company equity and employee stock purchase plans, addressing equity related questions and resolving equity related issues.Lead program communications and equity plan related education.Partner with key stakeholders in support of all equity matters and administration including, reporting, reconciliation, regulatory matters, and plan changes : outside advisors, executive leadership, board of directors, legal, finance, compliance and HR.Manage monthly, quarterly and annual reporting requirements including accurate and timely information to all stakeholders including plan/systems reconciliation, disqualifying disposition reporting, withholdings, and tax forms.Coordinate with legal to prepare and timely file required SEC reporting for Section 16 officers.Assist with financial audits and risk and controls analysis. Ensure SOX compliance working with both internal and external auditorsDevelops recommendations to improve control and quality procedures and works with management to implement the recommendationsApplies knowledge of information systems, technology and operations to improve business processes Assist in preparing schedules for proxy and statutory reporting related to equity program Stay up:to:date on key US and international tax and regulatory developments affecting stock:based pay programs and consult with appropriate internal stakeholders and external advisors to ensure plan compliance. Minimal Qualifications LocationPleasanton, CA EducationBachelorA?s Degree, preferably in Finance or AccountingCertified Equity Professional (CEP) preferred Skills/Experience Minimum 8+ years of global stock administration experience with public traded company, preferably with private to public company transition.Broad experience with a range of equity compensation instruments and plans, including stock options, RSUA?s, and ESPP. Experienced in designing and launching ESPP program.Strong analytical and problem resolution skills with a very high level of customer satisfactionAbility to work with various levels of management, including senior and C:Level executives, and handle confidential dataExperience with data imports, exports, reconcil
