**GENERAL PURPOSE:** This position providesor obtains legal services for the departments of the Property DevelopmentDivision of Ross Stores, Inc\., its subsidiaries and related companies\. The objective is tonegotiate and prepare legal documents and perform other real estate legalservices on an in\-house basis in order to minimize outside legal fees, whilebuilding in\-house expertise\. **ESSENTIAL FUNCTIONS:** **Prepare documentationfor new and existing store, office and warehouse facilities:** .Negotiate and draftleases\. .Supervise and review thepreparation of memoranda of lease and other related documents by paralegals\. .Review due diligencelease materials and analyze the impact on the lease and transaction\. .Prepare lease amendmentsand letter agreements, as requested by Management\. .Supervise, review andapprove Estoppel Certificates prepared by a paralegal based on informationprovided by other departments\. .Negotiate Subordination,Non\-disturbance and Attornment Agreements as necessary, and review and approvethe agreements in the form prepared by a paralegal\. .Approve, review andsupervise change of Landlord entities\. **Manage Landlord -Tenant disputes and litigation as requested by Management:** .Respond to and preparedemand letters\. .Represent the Company,negotiate resolutions to disputes, and prepare settlement agreements asrequested by Management\. .Determine when, and ifnecessary to, assign matters to outside counsel\. .Manage outside counseland coordinate requested information\. **Render legal advice onreal estate related issues:** .Analyze and renderopinions on the potential impact of proposed changes to existing leasearrangements\. .Analyze and renderopinions on real estate related issued raises by the Property ManagementDivision, as directed by Management\. **Coordinate legalservices provided by outside counsel:** .Coordinate all work thatis assigned to outside counsel, particularly the preparation of newly approvedlease agreements and amendments to leases\. .Serve as in\-house"contact" for outside counsel in order to maintain cost controls over servicesrendered and to avoid unnecessary duplicative or excessive costs\. .Obtain advice,documents, or other services from outside law firms as needed\. **Prepare and reviewstandard real estate documents:** .Review and revise formletters of intent to correctly reflect current corporate requirements\. .Review and revise formlease as necessary to correctly reflect current corporate requirements, asappropriate in conjunction with outside counsel\. .As directed whennecessary, draft property deeds, escrow instructions, corporate resolutions,mechanic's lien releases, and other standard real estate documents for pendingtransactions\. **OTHER JOB DUTIES:** .Maintain and distributelegal documents \(letters of intent; leases; memoranda of lease; estoppelcertificates; subordination, attornment and non\- disturbance agreements, andlease amendment formats\) and templates for repetitive use by Property Managementsdepartment, including added and alternate provisions\. .Develop and create"Policies and Procedures" for the production and handling of real estate legaldocuments and information derived from the documents of the Real EstateDepartment\. .Other special projectsor assignments as required\. **COMPETENCIES:** .Quality .Problem Solving .Influence .Communication **QUALIFICATIONS ANDSPECIAL SKILLS REQUIRED:** .Law degree and admittedin good standing with a state bar, preferably California .Minimum of 5\-7 yearsprior experience in commercial real estate transactions \(retail and shoppingcenter experience, preferable\), document drafting, and business or corporationlaw\. .Maintain therequirements for bar license by attending necessary continuing legal educationcourses, with a study emphasis in real estate, construction, environmental,business and corporate law\. .Prior experience intransactional real estate, document drafting, litigation and business orcorporation law\. .Strong written andverbal communication skills\. .Ability to prioritizeand handle multiple tasks and projects without supervision\. .Proficient in MicrosoftWord, with a basic knowledge of Microsoft Excel and Outlook\. .Job requires ability towork in an office environment, primarily on a computer\. .Requires sitting,standing, walking, hearing, talking on the telephone, attending in\-personmeetings, typing, and working with paper/files, etc\. .Consistent timelinessand regular attendance\. .Vision requirements:Ability to see information in print and/or electronically\. **SUPERVISORYRESPONSIBILITIES:** .Paralegal .Administrative Assistant .Real EstateCounsel/Manager **PHYSICALREQUIREMENTS/ADA:** .Job requires ability to work in an officeenvironment, primarily on a computer\. .Requires sitting, standing, walking, hearing,talking on the telephone, attending in\-person meetings, typing, and working withpaper/files, etc\. .Consistent timeliness and regular attendance\. .Vision requirements: Ability to seeinformation in print and/or electronically\. **SUPERVISORYRESPONSIBILITIES:** .Paralegal .AdministrativeAssistant .Real EstateCounsel/Manager **DISCLAIMER** This job description isa summary of the primary duties and responsibilities of the job andposition\.
